Terms of Service

Last Updated: March 15, 2026 BYLOCAL NJ LLC ("ByLocal," "we," "us," or "our"), a New Jersey Limited Liability Company located at 4 Lavina Court, Summit, New Jersey 07901, operates the ByLocal mobile application (the "App"). These Terms of Service ("Terms") govern your access to and use of the App. By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App. 1. ELIGIBILITY You must be at least 13 years old to use the App. If you are between 13 and 18 years old, you may use the App only with the consent of a parent or legal guardian. By using the App, you represent that you meet these requirements. 2. ACCOUNT REGISTRATION a) You may create an account using Apple Sign-In, Google Sign-In, or email and password. You are responsible for maintaining the confidentiality of your account credentials. b) You agree to provide accurate, current, and complete information during registration and to update it as necessary. c) You are responsible for all activity that occurs under your account. d) You may delete your account at any time through the App's Settings. Account deletion is permanent and cannot be undone. 3. DESCRIPTION OF SERVICE ByLocal is a community platform that connects users with local businesses, events, community groups, causes, jobs, and services within their city. The App allows users to: • Discover and RSVP to local events. • Follow and interact with local businesses. • Join and participate in community groups. • Purchase event tickets, gift cards, and memberships. • Make donations to fundraising campaigns. • Browse local job listings. • Register and manage a business listing. 4. USER CONDUCT You agree not to: a) Use the App for any unlawful purpose or in violation of any applicable law. b) Post content that is defamatory, obscene, harassing, threatening, hateful, discriminatory, or that promotes violence. c) Impersonate any person or entity or misrepresent your affiliation. d) Upload viruses, malware, or other harmful code. e) Attempt to gain unauthorized access to the App, other accounts, or our systems. f) Use the App to spam, solicit, or send unsolicited communications. g) Scrape, harvest, or collect information from the App through automated means. h) Interfere with or disrupt the operation of the App. We reserve the right to remove content and suspend or terminate accounts that violate these Terms, at our sole discretion. 5. USER-GENERATED CONTENT a) You retain ownership of content you post to the App (text, images, announcements, etc.). b) By posting content, you grant ByLocal a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your content within the App and for promotional purposes. c) You are solely responsible for the content you post. You represent that you have the right to post it and that it does not violate any third party's rights. d) We do not endorse or verify user-generated content. Other users' views and opinions do not represent ByLocal's views. 6. BUSINESS LISTINGS a) If you register a business, you represent that you are authorized to act on behalf of that business. b) Business listings are subject to review and approval by ByLocal. We reserve the right to reject, remove, or modify listings at our discretion. c) You are responsible for the accuracy of your business information, including hours, contact details, and product listings. 7. PURCHASES AND PAYMENTS a) The App facilitates purchases of event tickets, gift cards, memberships, donations, and other products/services from local businesses. b) Payments are processed securely by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service (https://stripe.com/legal). c) ByLocal acts as a platform connecting buyers and sellers. The transaction is between you and the business or organization. ByLocal is not responsible for the quality, safety, or fulfillment of goods or services purchased through the App. d) Refund policies are determined by each individual business or organization. Contact the business directly for refund requests. e) All prices are displayed in US Dollars (USD) unless otherwise stated. 8. INTELLECTUAL PROPERTY a) The App, including its design, features, code, graphics, and branding, is owned by BYLOCAL NJ LLC and protected by copyright, trademark, and other intellectual property laws. b) "ByLocal" and the ByLocal logo are trademarks of BYLOCAL NJ LLC. You may not use them without our prior written permission. c) You may not copy, modify, distribute, sell, or lease any part of the App. 9. THIRD-PARTY SERVICES The App integrates with third-party services including Google Maps, Firebase, Stripe, and Apple Sign-In. Your use of these services is subject to their respective terms and privacy policies. ByLocal is not responsible for the availability, accuracy, or conduct of third-party services. 10. DISCLAIMERS a) THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. b) WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. c) WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY BUSINESS, EVENT, PRODUCT, OR SERVICE ADVERTISED OR OFFERED BY THIRD PARTIES THROUGH THE APP. d) COMMUNITY GROUP CONTENT, EVENTS, AND BUSINESS INFORMATION ARE PROVIDED BY USERS AND BUSINESSES. BYLOCAL DOES NOT VERIFY THE ACCURACY OF SUCH CONTENT. 11. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BYLOCAL NJ LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO BYLOCAL (NOT TO INDIVIDUAL BUSINESSES) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER. 12. INDEMNIFICATION You agree to indemnify, defend, and hold harmless BYLOCAL NJ LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) any content you post through the App. 13. TERMINATION a) You may stop using the App and delete your account at any time. b) We may suspend or terminate your account at any time for violation of these Terms or for any reason at our sole discretion, with or without notice. c) Upon termination, your right to use the App ceases immediately. Sections 5(b), 8, 10, 11, 12, and 14 survive termination. 14. GOVERNING LAW AND DISPUTE RESOLUTION a) These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. b) Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Union County, New Jersey. c) You agree to submit to the personal jurisdiction of such courts. 15. CHANGES TO THESE TERMS We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms. 16. GENERAL a) If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. b) Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. c) These Terms constitute the entire agreement between you and ByLocal regarding the App. 17.
